Template notice — please read. This document is a plain-language template prepared to reflect Namedi’s intended practices. It is not legal advice and has not been reviewed by a lawyer. Before you publish or rely on it, have a qualified attorney licensed in your jurisdiction review and adapt it.

Terms & Conditions


1. Agreement to these Terms

These Terms & Conditions (“Terms”) are a legal agreement between you and Namedi (“Namedi,” “we,” “us,” or “our”) governing your use of the Namedi mobile application, our website at namedi.app, and related services (together, the “Services”).

By downloading, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and age

The Services are intended for adults and are not directed to children under 13 (United States) or under 16 where a higher minimum age applies (parts of the EU). By using the Services you confirm you meet the applicable minimum age and can form a binding contract. You must also comply with any minimum-age and other requirements of the Apple App Store and Google Play.

3. Important wellness disclaimer — please read

Namedi is a wellness product, not a medical device. The Services are provided for general wellness, relaxation, and mindfulness purposes only. Namedi:

Heart-rate and HRV readings and any scores or insights shown in the App are for informational and wellness purposes only and should not be relied on for medical decisions. Always seek the advice of a qualified health provider with any questions about a medical condition. If you think you may have a medical emergency, call your doctor or emergency services immediately. Never disregard or delay seeking professional medical advice because of something in the App.

4. License to use the App

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on a device you own or control, solely for your personal, non-commercial wellness use.

To use certain features you may create an account using email and password, Google Sign-In, or Sign in with Apple. You agree to:

7. Subscriptions and billing

7.1 Free beta

Namedi is currently offered as a free beta. Features may change, be limited, or be discontinued during the beta, and the Services are provided “as is” (see Section 11).

7.2 Future paid subscriptions

After the beta, we intend to offer a freemium model with an optional paid subscription, expected to be $49 per year (pricing subject to change). Paid subscriptions will be sold and billed through the Apple App Store or Google Play and managed with RevenueCat. If and when paid subscriptions launch, the following terms apply:

Statutory rights that cannot be waived (including any withdrawal/cancellation rights under consumer law in your jurisdiction) are not affected by this section.

8. Intellectual property

The Services and all related content — including the Namedi name and brand, the Nami mascot, the AI-generated voice, guided-session content, text, graphics, and software — are owned by Namedi or its licensors and are protected by intellectual property laws. Except for the license in Section 4, we grant you no rights in this content. You may not use our trademarks or content without our prior written permission.

9. User content and feedback

If you send us feedback, suggestions, or ideas about the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them for any purpose without obligation or compensation to you. Do not send us anything you are not entitled to share.

10. Third-party services

The Services rely on and interoperate with third-party services, including Apple (Sign in with Apple, HealthKit, App Store), Google (Google Sign-In, Health Connect, Google Play), and Supabase (authentication and database). Your use of those services is subject to their own terms and policies. We are not responsible for third-party services, and your device’s health-data permissions are controlled by you through Apple Health / Android Health Connect.

11. Disclaimer of warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any scores, insights, or readings are accurate. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Namedi and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the 12 months before the claim or £100. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for death or personal injury caused by negligence, or fraud).

13. Indemnity

You agree to indemnify and hold harmless Namedi and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these Terms or applicable law, to the extent permitted by law.

14. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Services. On termination, the license in Section 4 ends. Sections that by their nature should survive (including Sections 8, 9, 11, 12, 13, and 15) will survive termination. Deleting the App from your device removes locally stored health and session data, as described in the Privacy Policy.

15. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales, United Kingdom, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction. Nothing in this section deprives you of the protection of mandatory consumer laws in your country of residence.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Effective date” above and, where appropriate, notify you in the App or by email. Your continued use of the Services after an update means you accept the revised Terms.
